WHAT CONSEQUENCES DO NEW YORK RLLPs FACE FOR FAILING TO COMPLY WITH THE RELEVANT FILING REQUIREMENTS?

If an RLLP fails to submit a “status statement” to the Department of State, the Secretary of State may issue a proclamation declaring the RLLP's registration as corporation cancelled. While legal entities incur costs when failing to observe all the periodic filing report regulations, such costs may be particularly pronounced for RLLPs.

 

A Partnership's legal establishment rests on the notion that it bore out of a voluntary association.  The existence of 2 or more parties is required for a showing of an association.  An association tantamount to a Partnership would generally be molded by a legally binding partnership agreement.  A one partner partnership would in all likelihood be a legally invalid partnership.
